01About these Terms

These Terms of Service (the “Terms”) are an agreement between you and MartGain (“MartGain”, “we”, “us”, or “our”). They govern your access to and use of the website at martgain.net, the MartGain platform and web application, its social media management and publishing features, its integrations with third-party platforms, and any related services we provide (together, the “Service”).

By creating an account, connecting a social media account, using any publishing feature, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, agency, or other organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.

If you do not agree to these Terms, do not use the Service.

02The MartGain Service

MartGain is a marketing operations and social media management platform. It helps businesses, brands, creators, marketing teams, and agencies plan, prepare, review, and publish content to supported social media platforms, and manage the related work around it.

Depending on your plan and the permissions you grant, the Service may let you:

• create and manage a MartGain workspace and invite team members;
• connect social media accounts that you own or are authorized to manage, including TikTok;
• upload or create videos, photos, captions, titles, hashtags, and other content;
• preview content before it is published;
• choose the publishing settings offered by each platform;
• publish content to a connected account, or schedule it for later publication where supported;
• view the processing and publishing status of submitted content; and
• manage, review, or disconnect your connected accounts at any time.

Features differ between platforms and may change when a platform changes its API, its permissions, or its policies.

03Eligibility and your account

• You must be at least 18 years old, or the age of legal majority where you live, to use the Service.
• The Service is designed for business and professional use by creators, brands, businesses, and agencies.
• You must give us accurate account information and keep it up to date.
• You are responsible for keeping your login details confidential and for all activity in your account, including activity by team members you invite.
• Tell us immediately at info@martgain.net if you believe your MartGain account, or any social media account connected to it, has been accessed without permission.

04Connecting social media accounts

You may connect a social media account to MartGain only if you own it or you have been clearly authorized by its owner to manage it and to publish content to it.

If you connect an account that belongs to a client, company, brand, or another person, you confirm that you have that owner’s permission for every action you take through the Service, and that the permission is still valid. You must disconnect the account promptly when that permission ends.

Accounts are connected through each platform’s own official authorization screen (OAuth). We never ask for, receive, or store your social media passwords. The platform gives us an access token limited to the permissions you approve, and you can withdraw those permissions at any time.

05TikTok integration

MartGain integrates with TikTok only through TikTok’s official developer tools, including Login Kit and the Content Posting API. When you connect TikTok, TikTok shows you exactly which permissions MartGain is requesting, such as access to your basic profile information and permission to publish content to your account. We only use the permissions you approve.

Connecting TikTok does not give MartGain ownership or control of your TikTok account. Your use of TikTok continues to be governed by TikTok’s own rules, including the TikTok Terms of Service, the TikTok Community Guidelines, the Music Usage Confirmation, and the Branded Content Policy.

MartGain is an independent service. It is not owned, endorsed, sponsored, or operated by TikTok. TikTok and its logos are trademarks of their respective owners.

06How publishing to TikTok works

You are always in control of what is posted. MartGain never posts to your TikTok account on its own. Content is sent to TikTok only after you review it and give an explicit instruction, either by pressing the publish button or by confirming a schedule you set up.

Before you publish, MartGain shows you:

• the TikTok account (nickname and profile image) the content will be posted to;
• a preview of the video or photos exactly as they will be submitted;
• an editable title or caption, including hashtags and mentions;
• the privacy options that TikTok currently allows for that account (for example, Public, Friends, or Only me). No option is pre-selected; you choose it yourself;
• the interaction settings (Allow comments, Duet, and Stitch). They are off by default, and any setting disabled in your TikTok account cannot be switched on;
• a content disclosure control so you can indicate whether the post promotes your own brand, a third party’s brand (branded content), or both; and
• TikTok’s required declaration, for example: “By posting, you agree to TikTok’s Music Usage Confirmation” (and, for branded content, TikTok’s Branded Content Policy).

Before each post, MartGain requests up-to-date account information from TikTok, including whether the account can post right now and the maximum video length it allows. If TikTok reports that the account cannot post, or that the content does not meet its limits, we will tell you and will not submit the post.

After you publish, TikTok needs time to process the content, and it may take several minutes to appear on your profile. MartGain shows the status that TikTok reports. TikTok alone decides whether content is accepted, moderated, restricted, or distributed.

By pressing publish or confirming a schedule, you authorize MartGain to send the selected content and settings to TikTok on your behalf. You are responsible for reviewing both before you do.

07Your content stays yours, without added branding

MartGain does not add its own logo, watermark, brand name, link, or promotional text to content you publish to TikTok, and it does not change your content without your instruction. What you preview is what we submit.

MartGain does not copy content from other people’s accounts or other platforms and post it to TikTok. You may publish only content that you created or have the right to use.

08Ownership and licence of your content

You keep all ownership rights in the content you upload, create, or publish through the Service (“Your Content”).

You give MartGain a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, and transmit Your Content only as needed to operate the Service and carry out the actions you request, such as generating a preview or sending the content to TikTok. We do not use Your Content for any other purpose, and we do not sell it.

This licence ends when Your Content is deleted from the Service. We may still hold a copy for a limited time in encrypted backups or where the law requires it. Content already published to TikTok stays on TikTok until you delete it there.

09Your responsibilities

You are responsible for Your Content and for what you publish. You confirm that:

• you own Your Content or have every right, licence, and permission needed to publish it, including rights to any music, footage, images, trademarks, and the likeness of any person shown;
• Your Content complies with applicable law and with the rules of the platform you publish to;
• you disclose commercial and branded content accurately, as the law and each platform require; and
• you will not use the Service to publish anything misleading, infringing, harmful, hateful, sexually explicit, or otherwise unlawful.

10Prohibited use

You must not use the Service to:

• access or publish to any account without its owner’s authorization;
• publish spam, send bulk automated posts, or manipulate engagement artificially;
• copy and re-post other people’s content without their permission;
• impersonate any person, brand, or organization;
• get around platform restrictions, rate limits, posting limits, or security controls;
• scrape, harvest, or build profiles of TikTok users or other platform users;
• sell, share, or misuse access tokens or data received from any platform;
• upload malware or interfere with the Service or any connected platform; or
• break any law or any rule of a connected platform.

We may suspend or restrict access if we reasonably believe any of these rules has been broken, or where a platform or the law requires it.

11Access tokens and security

When you connect a platform, it gives MartGain access tokens instead of your password. We use these tokens only to perform the actions you have authorized, store them encrypted, and never sell or share them with anyone else. We take reasonable technical and organizational measures to protect the Service, but no online system can be guaranteed to be completely secure.

12Disconnecting and ending your account

• You can disconnect TikTok or any other platform at any time from your MartGain account settings, or by removing MartGain’s access in that platform’s own app settings.
• Once you disconnect, MartGain stops making requests to that platform on your behalf and deletes the related access tokens, as described in our Privacy Policy.
• Scheduled posts for a disconnected account are cancelled.
• You may close your MartGain account at any time by contacting us. Closing your account does not delete content that has already been published on a social platform. Please remove that content directly on the platform.

13Third-party platforms and availability

The Service depends on third-party platforms and APIs that we do not control. Features may be delayed, limited, or unavailable because of platform outages, API or policy changes, permission changes, account restrictions, rate or posting limits, or the end of an integration. We will try to keep the Service reliable and to show you clear status information, but we cannot guarantee uninterrupted availability of features that depend on third parties.

14Plans, fees, and agency services

Some parts of the Service are provided under a paid subscription or a separate agreement, proposal, or order with MartGain. The price, billing period, scope, and renewal terms are set out in that agreement. If that agreement conflicts with these Terms, the agreement governs the commercial terms, and these Terms govern use of the platform and its integrations.

Unless your agreement says otherwise, subscriptions renew for the same period until cancelled, and fees already paid are non-refundable except where the law requires otherwise.

15MartGain intellectual property

The Service, including its software, design, interface, text, graphics, and the MartGain name and logo, belongs to MartGain or its licensors and is protected by law. These Terms give you a limited, revocable, non-transferable right to use the Service for its intended purpose. They do not transfer any ownership to you. Third-party trademarks, including TikTok, belong to their owners.

16Disclaimers

The Service is provided on an “as is” and “as available” basis, to the extent the law allows. MartGain does not promise any particular number of views, followers, reach, engagement, leads, or sales. Social platforms independently control their algorithms, moderation, and distribution.

17Limitation of liability

To the fullest extent the law allows, MartGain will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from use of the Service or from actions taken by a third-party platform. To the same extent, our total liability for any claim relating to the Service is limited to the amount you paid MartGain for the Service in the three (3) months before the claim arose. Nothing in these Terms excludes liability that the law does not allow to be excluded.

18Indemnity

You agree to indemnify MartGain against claims, losses, and reasonable costs that arise from Your Content, from your breach of these Terms, or from your publishing to an account you were not authorized to use.

19Changes to the Service and these Terms

We may update these Terms when the Service, the law, or platform requirements change. We will change the “Last updated” date above and, for material changes, notify account holders by email or in the Service before the changes take effect. If you keep using the Service after that, you accept the updated Terms.

20Governing law

These Terms are governed by the laws of the Arab Republic of Egypt. The courts of Cairo, Egypt, have jurisdiction over any dispute, without limiting any mandatory consumer protection rights that you may have where you live. We will always try to resolve concerns informally first, so please contact us before starting any formal process.
